1. Acceptance of Terms

By accessing or using KAISA E-Negosyo ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the Platform.

2. Description of Service

KAISA E-Negosyo is a digital marketplace platform that connects buyers and merchants across the Philippines. The Platform enables users to browse products, place orders, manage a digital wallet, earn reward points, and build referral networks.

3. User Accounts

To use most features of the Platform, you must create an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account
• Not create accounts for fraudulent or unlawful purposes

4. Buyer Responsibilities

As a buyer on the Platform, you agree to:

• Provide accurate shipping and contact information for orders
• Pay for orders promptly through the designated payment methods
• Not engage in fraudulent orders, chargebacks, or dispute abuse
• Communicate respectfully with merchants and platform support

5. Merchant Responsibilities

As a merchant on the Platform, you agree to:

• List only products that you are authorized to sell
• Provide accurate product descriptions, prices, and availability
• Fulfill orders in a timely manner and as described
• Comply with all applicable Philippine laws and regulations
• Not engage in price manipulation, false advertising, or deceptive practices

6. Digital Wallet & Payments

The KAISA digital wallet is used for transactions within the Platform. Users agree that:

• Wallet balances are non-transferable to external bank accounts unless explicitly supported
• All transactions are final unless a valid dispute is raised within 7 days
• We reserve the right to freeze or terminate wallet access in cases of suspected fraud

7. Reward Points & Referral Network

Points earned on the Platform are subject to the following conditions:

• Points have no cash value and cannot be exchanged for money
• Points may be redeemed for discounts as specified by the Platform
• Referral commissions are calculated and disbursed according to current platform rules, which may change
• Attempts to game the referral or points system will result in account suspension

8. Prohibited Conduct

You may not use the Platform to:

• Violate any applicable Philippine or international laws
• Upload harmful, offensive, or fraudulent content
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Scrape, copy, or reproduce platform data without written permission
• Sell prohibited, illegal, or counterfeit goods

9. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise inappropriate. Upon termination, your right to use the Platform will immediately cease.

10. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind. We do not guarantee that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, KAISA E-Negosyo shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of profits, data, or goodwill.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Philippines.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform. Continued use of the Platform after changes constitutes your acceptance of the new Terms.
